1. Acceptance of Terms

These Terms form a legally binding agreement between you and Kacci Lab Inc. for your use of HoiiiBits. By creating an account or using the Services, you acknowledge that you have read and accepted these Terms and our Privacy Policy.

2. Eligibility

• You must be at least 13 (or the higher age required in your jurisdiction) to use the Services.
• You represent you have legal capacity to enter these Terms and, if accessing on behalf of an entity, authority to bind that entity.

3. Accounts & Security

• Account required. HoiiiBits requires an account to enable cloud storage, cross-device sync, and recovery after reinstalling the app.
• Provide accurate, complete registration information and keep it current.
• Maintain the confidentiality of your login credentials and all activity under your account.
• Notify us promptly of any suspected unauthorized access or security incident.

4. The Services & Your Responsibilities

The Services provide habit creation, scheduling/reminders, progress tracking, streaks, and chart-based insights. Some advanced progress analytics and weekly recaps may be available only on a paid plan.

Important: HoiiiBits is designed for general productivity and wellbeing support. It is not a medical device and does not provide medical, mental health, nutritional, or professional advice. If you have a health concern, consult a qualified professional.

You are responsible for choosing habits and goals that are safe and appropriate for your situation. You should not rely on the Services for emergency situations or time-critical decisions.

5. AI Features (Hoiii)

Hoiii is our AI buddy that may help you (a) generate starter habits during onboarding and/or (b) produce weekly recaps and gentle coaching insights. AI features are intended to be supportive and motivational, but AI outputs may be inaccurate or incomplete.

• Not advice: AI outputs are not medical, psychological, nutritional, legal, or professional advice.
• You decide: You are responsible for deciding whether to follow any suggestion and for adjusting your habits to your needs.
• Responsible use: Do not include sensitive personal information in habit titles or notes.

6. Cloud Sync, Storage & Data Recovery

HoiiiBits uses cloud storage (including Firestore) to store your habits, logs, and related progress data so you can: (a) sync across devices, and (b) recover data even after deleting and reinstalling the app.

• Backups and recovery: If you reinstall the app and sign back in, your prior data may be restored from cloud storage, subject to availability and retention practices.
• Offline use: Some features may work offline; syncing and AI features require internet connectivity.
• Data integrity: You are responsible for reviewing your habits, logs, and settings for accuracy.

7. Your Content & License to Us

“User Content” includes habit titles, categories, schedules, logs, notes, and other materials you submit to the Services. You retain ownership of your User Content.

You grant Kacci Lab a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, adapt, display, and transmit your User Content solely to operate, improve, and provide the Services and to comply with law. You represent you have all rights needed and that your User Content does not infringe third-party rights.

8. Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, deceptive, or fraudulent purposes.
• Harass, threaten, shame, or violate the rights of others.
• Upload malware or attempt to interfere with the integrity or performance of the Services.
• Access or attempt to access accounts or data not intended for you; scrape, index, or reverse engineer without permission.
• Impersonate others or misrepresent your affiliation.

9. Third-Party Services & Content

The Services may integrate or rely on third-party services (e.g., Firebase/Google Cloud, app stores, analytics/telemetry, and AI providers). Their terms and privacy notices govern their services.

10. Device Permissions & Notifications

• Some features require device permissions (e.g., notifications). You can disable permissions in device settings; related features may not function.
• Reminder notifications are intended to help you log quickly and stay on track. You are responsible for configuring reminders so they are appropriate for your routine.

11. App Stores, Trials, Subscriptions & Payments

11.1 Free Trial and Paywall

HoiiiBits may offer a free trial period (for example, one (1) month) during which certain premium features are available at no charge. After the free trial ends, premium features (such as advanced progress analytics charts and AI weekly recaps) may require a paid subscription or purchase to continue.

11.2 Billing and Renewal

• Purchases are processed by the Apple App Store or Google Play. Their terms and refund policies apply. We typically do not receive full payment card details.
• Where applicable, trials may auto-convert to paid unless cancelled in store account settings before renewal.
• Taxes may apply based on your location. We may change pricing or features upon notice permitted by the store(s) and applicable law.

11.3 Cancellation

You can cancel subscriptions through your Apple or Google account settings. Cancellation stops future renewals; access to premium features may continue until the end of the current billing period, subject to store policies.

12. Intellectual Property; Feedback

• We (and our licensors) own the Services, including software, design, and content (excluding User Content). We grant you a limited, non-exclusive, non-transferable license to use the Services for personal use in accordance with these Terms.
• Hoiii & HoiiiBits trademarks: “Hoiii” and associated logos/graphics are trademarks of Kacci Lab Inc. You may not use our branding without permission.
• If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction.

13. Availability; Beta Features; Changes

• The Services may change or be discontinued in whole or in part. We may introduce beta or experimental features that may be unstable or change at any time.
• We strive for high availability but do not guarantee uninterrupted service. Sync and AI features require internet connectivity.

14. Disclaimers

• As-Is: The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
• AI Output: AI-generated content may be inaccurate or incomplete; use your judgment and verify independently.
• No Medical Advice / No Emergency Services: The Services do not provide medical advice or emergency services.

15. Limitation of Liability

To the maximum extent permitted by law, Kacci Lab and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, business interruption, loss of data, or goodwill) arising out of or relating to the Services or these Terms, even if advised of the possibility. Our aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of USD $50 or the amounts you paid (if any) for the Services in the twelve (12) months preceding the event giving rise to liability. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Kacci Lab and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Services; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

17. Term; Suspension & Termination

• These Terms remain in effect until terminated. We may suspend or terminate access (in whole or in part) if you violate these Terms, pose a security risk, or if we discontinue the Services.
• Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive (e.g., licenses to feedback, disclaimers, limitations, indemnities, governing law) will survive.

18. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles and excluding the United Nations Convention on Contracts for the International Sale of Goods.

You and Kacci Lab Inc. irrevocably submit to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario, Canada, except that either party may bring an individual claim in the small claims court of its county/province/state of residence if permitted by that court’s rules.

Nothing in this section limits any mandatory consumer protections available to you under the laws of your country or province of residence.

For clarity, the governing law and venue applicable to our Privacy Policy are the same as set out in this Section 18.

19. Export; Force Majeure; Miscellaneous

• Export: You must comply with all applicable export control and sanctions laws.
• Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
• Notices: We may notify you via the app, email, or website postings.
• Entire Agreement: These Terms and the Privacy Policy are the entire agreement regarding the Services and supersede prior agreements on this subject.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
• No Waiver: Our failure to enforce a provision is not a waiver.
• Headings: Headings are for convenience only.
• Language: The parties have expressly requested that these Terms and all related documents be drawn up in English.

20. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice (e.g., in-app or by email). Your continued use after changes become effective constitutes acceptance of the revised Terms.

Appendix: Apple App Store Terms

• You acknowledge these Terms are between you and Kacci Lab, not Apple. Kacci Lab is solely responsible for the App and its content.
• Your use of the iOS App must comply with the App Store Terms of Service.
• Apple has no obligation to furnish maintenance or support; Kacci Lab is responsible for support.
• In the event of any failure of the iOS App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS App; to the maximum extent permitted by law, Apple has no other warranty obligation.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS App, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

Appendix: Google Play Store Terms

• Relationship with Google. These Terms are between you and Kacci Lab Inc., not Google. Your use of the Android App is also subject to the Google Play Terms of Service and any applicable policies.
• Support & Maintenance. Google has no obligation to provide maintenance or support for the App. Kacci Lab Inc. is responsible for App support.
• Refunds & Billing. Purchases and subscriptions made through Google Play are processed by Google. Refunds, cancellations, and renewals are handled under Google Play policies and your Play account settings, where applicable.
• Compliance & Export. You represent that you comply with applicable laws, including export control and sanctions laws, and that you are not located in an embargoed country or on a prohibited party list.
